1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of Scriptorium, a marketing analytics platform operated by Monasticx ("we", "us", or "our").

By creating an account or using Scriptorium, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

These Terms are governed by German law and the laws of the European Union where applicable.

2. Service Description

Scriptorium provides:

  • Integration with advertising platforms (Google Ads, Meta Ads, etc.)
  • Aggregated marketing analytics and reporting
  • ROI calculation and attribution modeling
  • Budget optimization recommendations
  • Data visualization and dashboards

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice for significant changes that affect your use of the platform.

3. Account Registration

3.1 Eligibility

To use Scriptorium, you must be at least 18 years old and have the legal capacity to enter into contracts. If you are using the service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

We recommend using a strong, unique password and enabling additional security measures when available.

3.3 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.

4. Subscription and Payment

4.1 Pricing Plans

Scriptorium offers various subscription plans. Current pricing and features are displayed on our website. All prices are in EUR and exclude applicable taxes (VAT) unless otherwise stated.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is processed through Stripe, our third-party payment processor
  • You authorize us to charge your payment method for all fees incurred
  • Failed payments may result in suspension of your account

4.3 Price Changes

We may change our prices at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing period. Continued use of the service after a price change constitutes acceptance.

4.4 Refunds

As a digital service, we generally do not offer refunds. However, in accordance with EU consumer protection laws, you have the right to withdraw from your initial purchase within 14 days if you have not yet used the service substantially. Contact [email protected] for refund requests.

4.5 VAT (Mehrwertsteuer)

For customers in the European Union, VAT will be applied according to the applicable rates in your country of residence. Business customers with a valid VAT ID may be exempt from VAT under the reverse charge mechanism.

5. Acceptable Use

5.1 Permitted Use

You may use Scriptorium only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service or servers
  • Use automated systems (bots, scrapers) without permission
  • Reverse engineer or decompile any part of the service
  • Share your account credentials with third parties
  • Use the service to process data you do not have rights to
  • Resell or redistribute our services without authorization

5.3 Third-Party Platform Compliance

When connecting advertising platforms to Scriptorium, you must comply with their respective terms of service (e.g., Google Ads Terms, Meta Platform Terms). You are solely responsible for your compliance with these third-party terms.

6. Data and Privacy

6.1 Your Data

You retain all rights to your data. By using Scriptorium, you grant us a limited license to process your data solely for the purpose of providing our services.

6.2 Data Processing

Our processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.3 Data Processing Agreement

7. Intellectual Property

7.1 Our Intellectual Property

Scriptorium, including its software, design, logos, and documentation, is owned by Monasticx and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 Feedback

If you provide feedback, suggestions, or ideas about our service, you grant us a non-exclusive, royalty-free, worldwide license to use and incorporate such feedback into our products and services.

8. Limitation of Liability

Important Legal Notice

The following limitations apply to the maximum extent permitted by applicable law, including German law (BGB §§ 276, 278, 280-284).

8.1 Service "As Is"

Scriptorium is provided "as is" and "as available" without warranties of any kind, except as required by law. We do not guarantee that the service will be uninterrupted, error-free, or secure.

8.2 Limitation of Damages

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for any loss of data, profits, or business opportunities

8.3 Exceptions

These limitations do not apply to: (a) liability for intentional misconduct or gross negligence, (b) liability for personal injury, (c) liability under product liability law (Produkthaftungsgesetz), or (d) any other liability that cannot be excluded under mandatory applicable law.

9. Indemnification

You agree to indemnify and hold harmless Monasticx, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

10. Termination

10.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Upon termination:

  • Your subscription will remain active until the end of the current billing period
  • You can export your data before the account is closed
  • Your data will be deleted according to our Privacy Policy

10.2 Termination by Us

We may suspend or terminate your account if:

  • You breach these Terms
  • You fail to pay applicable fees
  • Your use poses a security risk
  • Required by law

We will provide reasonable notice before termination, except in cases of serious breach or where prohibited by law.

10.3 Effect of Termination

Upon termination, your right to use the service immediately ceases. Sections that by their nature should survive termination will survive (including Intellectual Property, Limitation of Liability, and Dispute Resolution).

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict of law principles. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.

11.2 Jurisdiction

For business customers, any disputes shall be subject to the exclusive jurisdiction of the courts in Germany.

For consumers within the EU, you may bring proceedings in your country of residence in accordance with Regulation (EU) No. 1215/2012.

11.3 Online Dispute Resolution

The European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. We are not obligated and currently not willing to participate in dispute resolution proceedings before a consumer arbitration board.

12. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email or through a notice on the platform at least 30 days before the changes take effect.

Your continued use of Scriptorium after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the service and terminate your account.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Monasticx regarding Scriptorium.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
